Terms of Service

These Terms of Service (“Terms”) govern your access to and use of dfmi and its websites, applications, smart contracts, faucet, market, ratings directory, and related services (the “Service”), operated by Wang LLC (“dfmi”, “we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read carefully. dfmi is an experimental, non-custodial protocol. dUSD is a test settlement token on the dfmi blockchain — it is not legal tender, not a security, and not an investment, and it may have no monetary value. Nothing on dfmi is financial, investment, legal, or tax advice. You use the Service at your own risk and may lose everything.

1Eligibility

You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter these Terms. You must not be located in, ordinarily resident in, or acting on behalf of any person in a country or region subject to comprehensive sanctions, and you must not be on any sanctions or denied-party list. You are responsible for ensuring your use of the Service is lawful where you are.

2The Service

dfmi is an open, experimental marketplace implementing the x402 payment protocol on the dfmi blockchain. It includes a facilitator (payment verification and settlement), a market of services, a faucet that distributes small amounts of test dUSD, an independent ratings directory, and reference client software. Some listed services generate automated, AI-written content such as market reports.

3Experimental; provided “as is”

The Service and all related software, tokens, smart contracts, and content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, secure, or error-free.

4dUSD and tokens

dUSD is an experimental unit of account issued on the dfmi chain for testing and settlement within the Service. dUSD:

is not legal tender, fiat currency, or e-money;
is not a security, investment contract, deposit, or claim against us or any person;
carries no guarantee of value, redemption, convertibility, or buy-back;
may lose all value at any time; and
may be modified, paused, or discontinued at our discretion.

Do not acquire or hold dUSD in expectation of profit or value.

5No financial or professional advice

Content on the Service — including AI-generated market reports and the ratings directory — is informational and automated. It is not financial, investment, trading, legal, tax, or accounting advice, and must not be relied on for any decision. Ratings, scores, and flags are experimental heuristics and may be inaccurate or incomplete. Always do your own research.

6Non-custodial; your keys, your responsibility

The Service is non-custodial. We never hold, control, or have access to your wallet, private keys, or funds. You are solely responsible for securing your keys and wallet. Blockchain transactions are irreversible, and loss of your keys means permanent loss of access to your funds, which we cannot recover.

7Blockchain and technology risks

You acknowledge and accept risks inherent to blockchain technology, including but not limited to: smart-contract bugs, vulnerabilities, and exploits; network congestion, downtime, or failure; forks and protocol changes; changes in gas or fees; facilitator, relayer, or oracle failure; and the total and irreversible loss of tokens or data. You assume all such risks.

8Acceptable use

You agree not to use the Service to:

violate any law or regulation, or facilitate illegal activity;
launder money, finance terrorism, or evade sanctions;
commit fraud, market manipulation, wash trading, or Sybil attacks;
abuse the faucet (for example, multi-address farming or automated draining) beyond its intended trial use;
attack, overload, probe, or disrupt the Service, its infrastructure, or the chain, or introduce malware;
infringe anyone’s intellectual-property or other rights; or
list or operate a service that is unlawful, deceptive, or that you misrepresent.

We may restrict, flag, down-rank, suspend, or block any address, service, or user at our sole discretion.

9The faucet

The faucet distributes small amounts of test dUSD subject to per-address and rate limits, at our sole discretion, with no guarantee of availability. It is for trial use only and confers no entitlement or property right.

10Third-party and user-listed services

The Service lists and interacts with services operated by third parties and by you. We do not endorse, verify, or take responsibility for any third-party service, its content, or its delivery. If you list or operate a service, you are solely responsible for it — its lawfulness, accuracy, and performance — and you agree to indemnify us in connection with it.

11Intellectual property

The design, text, and original code of the Service are owned by us or our licensors. Open-source components are governed by their respective licenses. You may not misappropriate our names, logos, or branding.

12Availability and changes

We may modify, suspend, or discontinue any part of the Service, the tokens, or these Terms at any time, without notice or liability.

13Limitation of liability

To the maximum extent permitted by law, in no event will dfmi, Wang LLC, or its operators, affiliates, contributors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, tokens, funds, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed USD 100. Some jurisdictions do not allow certain exclusions or limitations; in those places, the above applies to the fullest extent permitted.

14Indemnification

You agree to indemnify, defend, and hold harmless dfmi, Wang LLC, and its operators, affiliates, and contributors from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

15Governing law and disputes

These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Service or these Terms will be resolved exclusively [in the courts of / by binding individual arbitration seated in] [GOVERNING JURISDICTION]. To the extent permitted by law, you waive any right to participate in a class or representative action.

16Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. These Terms, together with the Privacy Policy and Legal Notice, are the entire agreement between you and us regarding the Service. The English version is the governing version; any translation is for convenience only.
